Description & Requirements

We are looking for a Qualified Company Secretary (CS) to join team in Mumbai. The ideal candidate will have a sound understanding of Company Law, FEMA, RBI, SEBI regulations, and a proven track record in handling Board Meetings, compliance, and regulatory filings. This role requires strong legal acumen, organizational skills, and the ability to communicate effectively with stakeholders and regulatory authorities.

Responsibilities

  • Convene, attend, and recordĀ Board Meetings,Ā General Meetings, and Committee Meetings in accordance with the Companies Act.
  • Draft agendas, notices, minutes, resolutions, and maintain statutory registers.
  • Ensure timely compliance with all provisions of theĀ Companies Act, 2013Ā and related corporate laws.
  • Liaise with regulatory authorities such asĀ ROC, RBI, SEBI, and stock exchangesĀ for statutory filings, approvals, and queries.
  • Handle secretarial audits, annual returns, and corporate governance reports.
  • Ensure compliance underĀ FEMAĀ and related RBI regulations for foreign investments, ECBs, ODI, and related transactions.
  • Assist in drafting and vetting of corporate documents, shareholder agreements, and other legal documentation.
  • Keep the management updated on changes in corporate laws and regulations affecting the business.

Requirements

  • QualifiedĀ Company Secretary
  • Experience: 06 months – 2 years of post-qualification experience in a listed or unlisted company, law firm, or corporate secretarial firm.
  • In-depth knowledge of theĀ Companies Act, 2013,Ā FEMA,Ā RBI, andĀ SEBIĀ regulations.
  • Familiarity with corporate governance norms, secretarial standards, and statutory compliances.
  • Proficient in MCA filing systems, and good drafting and communication skills.
  • High level of integrity, attention to detail, and ability to handle confidential information.

Preferred:

  • Exposure to listed company compliances and SEBI LODR.
  • Experience in handling corporate restructuring, mergers, or fundraising (optional).
